Client Terms and Conditions

These Terms and Conditions govern Cal Partners’ services to any client (hereafter referred to as “The Client”). By commissioning any services, The Client agrees to all terms outlined below.

1. Definitions and Scope

1.1 “Cal Partners” refers to Cal Partners, the marketing agency providing services as defined below.

1.2 “The Client” refers to the individual, business, or company requesting services from Cal Partners.

1.3 “Services” encompass, marketing services ranging from strategy & consulting, digital marketing, social media marketing, content marketing, conversion marketing, video & animation, PR, recruitment marketing, SEO, events, graphic design, and website builds.

1.4 “Charges” refers to the fees charged by Cal Partners in accordance with the Services agreed with The Client and as set out in any relevant proposal, email agreement or statement of work for the Services or project delivered based on an hourly or daily rate or agreed fixed amount.  All Charges are exclusive of VAT unless stated otherwise. Charges may be reviewed annually and adjusted in line with common business practice, market conditions and increased costs, with reasonable notice provided to The Client.

2. Payment Terms

2.1 Invoices are sent at the beginning of the month for the previous month's work. Cal Partners shall submit invoices for the Charges plus VAT.

2.2 30-Day Payment Term: All invoices are due within 30 days of receipt unless otherwise agreed in writing.

2.3 An automated reminder is sent after 5 and 21 days. After 45 days without payment or valid communication, Cal Partners may freeze the account and halt services until a £200+VAT reactivation fee and any outstanding balances are paid.

3. Copyright and Intellectual Property for Content and Images

3.1 Images and Content Provided by Cal Partners: All images, videos, and content provided by Cal Partners are protected by copyright. Unauthorised copying, reproduction, or distribution constitutes theft and will result in legal action. The Client assumes full liability for any third-party rights infringements for images or content supplied to Cal Partners.

3.2 Client-Provided Content: The Client is responsible for ensuring that any images or content provided do not infringe on third-party intellectual property rights. Cal Partners accepts no liability for such content.

3.3 Website Usage Agreement: By accessing and using calpartners.co.uk, you agree that all images, logos, brand names, and materials on this site are copyrighted by Cal Partners. Unauthorised use, downloading, reproduction, or distribution of these materials is strictly prohibited and will be considered theft, subject to legal action.

4. Client Responsibilities for Project Information and Assets

4.1 The Client must provide all required information, images, and content in the correct formats before the project start date. Failure to do so may result in additional charges and timeline adjustments.

4.2 If additional content, images, or functionality is requested after the project starts, additional charges may apply. These changes may also void agreed project deadlines.

5. Use of Artificial Intelligence

5.1 In delivering marketing services, we may use artificial intelligence (AI) tools to support activities such as content ideation, data analysis, performance optimisation, research, and workflow efficiency.

5.2 AI tools are used as an assistive resource only. All strategic recommendations, final content, and client-facing outputs are reviewed, refined, and approved by our team before delivery.

5.3 We do not rely solely on AI to make decisions that materially affect our clients’ marketing strategy, commercial outcomes, or regulatory obligations.

5.4 Where AI tools process data, we take reasonable steps to ensure:

·        No confidential or sensitive client information is shared with AI systems unless expressly agreed in writing.

·         Any data processing complies with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.

·        Outputs are assessed for accuracy, bias, relevance, and appropriateness before use.

5.5 Clients acknowledge that AI-generated insights or suggestions are indicative and should not be relied upon as legal, financial, or regulatory advice.

5.6 If a client prefers that AI tools are not used in connection with specific services or projects, this must be agreed in writing in advance and may affect scope, timelines, or fees.

6. Functional and Hosting Requirements

6.1 Hosting and Third-Party Integrations: All functionality and hosting requirements must be confirmed before the project start date. Cal Partners assumes no liability for downtime, server issues, or third-party integration failures unless covered by a Service Level Agreement (SLA).

6.2 Client Hosting Requirements: Websites should not be hosted on free platforms or low-quality IPs. If needed for optimisation, Cal Partners may request The Client to change hosting providers.

7. Delays and Client-Initiated Changes

7.1 If The Client fails to provide necessary content or causes delays, the full balance is due on the project completion date. Failure to meet an allocated coding slot may incur additional reallocation charges.

7.2 Any alterations made by The Client after completion are not Cal Partners responsibility.

8. Cancellations and Ownership

8.1 Website development, video and animation Cancellations: If The Client cancels the project at any stage, then any  deposit or other advance payment is non-refundable. Further costs, including third-party expenses, may also be due.

8.2 Ownership Transfer: Ownership of the website and related content transfers to The Client only upon full payment of all outstanding balances. Cal Partners retains rights to use completed project designs for marketing and portfolio purposes unless otherwise agreed.

9. Client Content and Indemnity

9.1 The Client must ensure that all content is lawful and not misleading. The Client indemnifies Cal Partners from any legal claims arising from the content or functionality provided on their website.

9.2 Cal Partners does not guarantee specific SEO results, traffic, or sales, leads outcomes and cannot be held liable for any lost business due to system or third-party failures.

10. Data Protection and Privacy

10.1 Cal Partners will handle all client information in compliance with GDPR and relevant data protection laws, disclosing information only as required by legal proceedings.

11. Warranties

11.1 The Client warrants that all content on their website is lawful, not misleading, and does not infringe on third-party intellectual property.

12. Loss of Service and Liability Limitations

12.1 Cal Partners is not liable for any service disruptions, data loss, or financial losses from third-party server issues or factors beyond Cal Partner’s control.

13. Ownership and Reproduction of Materials

13.1 All content remains the property of Cal Partners until full payment is made. Unauthorised reproduction of any materials will constitute theft and will result in legal action.
